ARTICLE I – NAME

The name of the organization shall be the Agawam Soccer Association, Inc.  The Agawam Soccer Association shall also be referred to as the A.S.A.  Members of the A.S.A. shall include registered players and their parents, coaches of Agawam teams, and the Executive Committee Members of the Association.

 

ARTICLE II – MISSION STATEMENT

The Agawam Soccer Association is committed to promoting and providing the opportunity for competitive and instructional play in the sport of soccer throughout the town of Agawam and Feeding Hills, while fostering good sportsmanship among our player, coaches and families.

 

ARTICLE III – BOARD MEMBERS

 

  1. The members that make up the ASA Board of Directors shall include: President, Executive Vice-President, Vice-President of In-Town Affairs, Vice-President of Travel Soccer Affairs, Secretary, Treasurer, Registrar, In-Town Coordinators (3), Director of Girl's Travel Teams, Director of Boy's Travel Teams, Director of Referees, Director of Field Operations,  Director of Procurement, Assistant Procurement Director, Sponsorship Coordinator, Webmaster and Director of Concessions (non-voting). All members of the board must be at least 18 years of age.
  2. The Executive Committee members will consist of the President, Vice-President, Treasurer, and Secretary
  3. The Board of Directors will consist of the executive committee and the remaining members of the Agawam Soccer Board of Directors.

4. Any Board Member may be removed from office for cause by a two-thirds vote of the Executive Committee.

  5.   Any vacancy may be filled by a majority vote at any regular or special meeting of the Executive Committee.

  6.   The Agawam Soccer Board of Directors will operate under Roberts Rule as appropriate

  7.   Voting Board members registration fees will be waived for no more than 2 children on an ASA team for the duration of their term.  If more than 2 children are in the Association, it will be the lesser value of the registration fees.

 

PRESIDENT

The President shall call meetings of the Agawam Soccer Association Board of Directors and preside over all association business. The President will also act as overall chairperson for all committees.  The President only votes in the case of a tie breaker. 

 

EXECUTIVE VICE-PRESIDENT

The Executive Vice-President will assist the President in conducting association business and administer to the needs of the association in the President’s absence. The Executive Vice-President will succeed the President in the event of his resignation. He/she will educate and promote development (coaches’ education, clinics, etc.) and also serve as Chairperson of the Scholarship Committee (Article IV, section 2) and the Chairperson of the Tournament Committee (Article IV, section 2).  The Executive Vice President is overall coaching director for league and will oversee all: coaching appointees, disciplinary hearings, licensing and all other issues pertaining to coaches.

 

VICE-PRESIDENT OF IN-TOWN AFFAIRS

The Vice-President of In-Town Affairs shall be responsible for the administration of in-town soccer activities. The Vice-President shall oversee and serve as the adviser to the In Town Coordinators. The Vice-President shall be responsible for the establishment of In-Town playing schedule and the modification of same, including the Introductory League schedule. The Vice-President will serve as Chairperson of the Awards Committee (Article IV, section 3) and Chairperson of the Ways and Means Committee (Article IV, section 1).

 

VICE-PRESIDENT OF TRAVEL SOCCER AFFAIRS

The Vice-President of Travel Affairs shall be responsible for the administration of the Travel Program. The Vice-President shall serve as advisor to the Directors of Boys and Girls Travel Teams. The Vice-President will serve as a member of the Awards Committee (Article IV, section 3) and will also serve as an Agawam Representative on the Roots Soccer League Competition Committee (Article IV, section 4).

 

SECRETARY

The Secretary shall maintain the Association records, give adequate notification of all meetings, record the minutes of these meetings.

 

TREASURER

The Treasurer shall prepare invoices, deposit all funds, pay bills and maintain adequate records of all Association financial transactions. The Treasurer should present a written report to the Executive Committee at least once each quarter. The Treasurer shall also present the bank statement at least once a quarter so that the bank statement can be compared to the Treasurer’s Report. The Treasurer will also serve as a member of the Scholarship Committee (Article IV, section 2) and also serve as a member of the Tournament Committee (Article IV, section 5).

 

REGISTRAR

The Registrar will coordinate Fall and Spring sign-ups, handle registration forms and manage a database of all soccer players and coaches in Agawam. The Registrar will serve as a member of the Tournament Committee (Article IV, section 5).

 

IN-TOWN COORDINATORS (3-positions)

In-Town Coordinators shall be responsible for the coordination and operation of the In-Town Program as directed by the Vice President of In-Town Affairs. The Coordinators shall assist the Vice-President of In-Town Affairs in the selection process for team rosters. The Coordinators shall coordinate the publication of all team standings for the League. The Coordinators shall also serve as members of the Awards Committee (Article IV, section 3) and also the Ways and Means Committee (Article IV, section 1).

 

DIRECTOR OF TRAVEL TEAMS - GIRLS

The Director of Travel Teams - Girls shall be responsible for the coordination and operation of the Girl's Travel Teams within the League. The Director shall assist the Vice-President of Travel Soccer Affairs. The Director shall also serve as a member of the League Committee, as appropriate (Article IV, section 4).

 

DIRECTOR OF TRAVEL TEAMS - BOYS

The Director of Travel Teams - Boys shall be responsible for the coordination and operation of the Boy's Travel Teams within the League. The Director shall assist the Vice-President of Travel Soccer Affairs. The Director shall also serve as a member of the League Committee, as appropriate (Article IV, section 4).

 

DIRECTOR OF REFEREES

The Director of Referees will be responsible for the scheduling and payment of In-Town referees. The Director shall also be responsible for the education, recruitment and training of all referees. The Director shall also serve as a member of the Tournament Committee (Article IV, section 5).

 

 

DIRECTOR OF FIELD OPERATIONS 

The Director of Field Operations shall be responsible for all issues relating to usage, maintenance and development of the fields. The Director shall also serve as a member of the Tournament Committee (Article IV, section 5).

 

DIRECTOR OF PROCUREMENT

The Director of Procurement shall be responsible for the purchasing of all equipment for both the In-Town and Travel Programs.  The Director will be the liasion between the Agawam Soccer Association and the purchasing agent for the procurement of uniforms, equipment, coaching materials, as approriate, and any other items needed as deemed appropriate by the Association.  The Director shall also serve as a member of the Tournament Committee (Article IV, Seciton 5).

 

ASSISTANT PROCUREMENT DIRECTOR

The Assistant Procurement Director shall be responsible to assist the Director of Procurement in their duties.  The Assistant Procurement Director shall assume the duties of the Director of Procurement in the event the Director is unable to fulfill their duties.

 

SPONSORSHIP COORDINATOR

The Sponsorship Coordinator shall be responsible for coordinating sponsorships within the Agawam Soccer Association as well as participating in fundraising activities as determined by the Agawam Soccer Association Board of Directors.  The Sponsorship Coordinator will be the liasion between the Agawam Soccer Association and any vendors utilized for sponsorship opportunities.

 

DIRECTOR OF CONCESSIONS

The Director of Concessions shall be responsible for all of the operations relating to concessions during the regular season, the In-Town Jamboree and any Tournaments. The Director shall also serve as a member of the Tournament Committee (Article IV, section 5).

 

COMMUNICATION DIRECTOR/WEBMASTER

The duties of the Communications Director shall be to improve promotion of soccer news within the community by coordinating media relations with magazines, the press, the Internet, TV and radio. This position also includes organizing and compiling all registration and tryout information to be distributed to potential players via handouts and advertisements.

     

 ARTICLE IV – STANDING COMMITTEES

  1. Ways and Means Committee – Chairperson, Vice-President of In-Town Affairs, Permanent Members: Treasurer, In-Town Coordinators (3) 
  2. Scholarship Committee – Chairperson, Executive Vice-President, Permanent Member: Treasurer and two other voting Board members
  3. Awards Committee – Chairperson, Vice-President of In-Town Affairs, Permanent Members: Vice-President of Travel Soccer Affairs, In-Town Coordinators (3)   
  4. League Committee – Agawam Representative, Vice-President of Travel Soccer Affairs.  Director of Travel Teams - Girls and Director of Travel Teams - Boys will be respresentative(s) as appropriate                     
  5. Tournament Committee – Chairperson, Executive Vice-President, Permanent Members:  Registrar, Director of Travel Teams - Boys, Director of Travel Teams - Girls, Treasurer, Director of Referees, Director of Concessions, Director of Procurement and Director of Field Operations. 

 

NOTE – Each chairperson will be expected to appoint responsible members to serve on his or her committee if additional help is needed


ARTICLE V – EXECUTIVE COMMITTEE

  1. The management of the affairs and property of the Association shall be vested in the Agawam Soccer Association Board of Directors.
  2. The Agawam Soccer Association Board of Directors shall hold a minimum of two regular meetings per year at times and places determined by the President of the Association. 
  3. Election of Agawam Soccer Association Board of Directors
  • The Annual meeting, which shall be one of the regular meetings, shall be held during the month of November at which time election of Members of the Agawam Soccer Association Board of Directors will be held
  • Any coach or assistant coach over 18 years of age duly registered with the Association or parent of any registered child may run for office.  Any deviations from this shall require 2/3 vote from the Board.
  • Each Fall team from In-Town League or Travel League may cast one vote per team. These votes must be cast by the team’s coach or adult representative for that team. One person may only vote one time. Each Agawam Soccer Association Board of Director will be allowed one vote and cannot vote as both a committee member and again as a coach. Anyone voting must be in attendance at the meeting to cast his or her ballot.
  • The ballot will be conducted in secret on paper. The Association President shall appoint four people to count the paper slips and then anyone else who may wish to verify the count may do so
  • Election results shall take effect at a combined meeting of the current Agawam Soccer Assocation Board of Directors and newly elected members to be held at the December meeting following elections or, if no meeting is held, by default on January 1st.

4.   The Agawam Soccer Association Board of Directors shall hear and resolve any protest that may arise. These protests must be addressed at the next scheduled Agawam Soccer Association Board of Directors meeting or special meeting, if called.

5.   Two-thirds of the Executive Committee present at a meeting of the Agawam Soccer Association Board of Directors shall be considered a quorum 

6.   Each Executive Committee member may cast one (1) vote

7.   The Agawam Soccer Association Board of Directors nor the Association shall not be responsible or held liable for injuries or loss sustained by individuals participating in its program or by spectators

8.   Term of an Agawam Soccer Association Board of Director shall be two (2) years.   Half of the Agawam Soccer Association Board of Directors shall be elected on alternating years to ensure that there are always standing members on the newly elected Agawam Soccer Association Board of Directors. 

  • The following Agawam Soccer Association Board of Directors positions shall be elected together: President, Vice-President of In-Town Affairs, Secretary, Registrar, In-Town Coordinators (1st & 3rd), Director of Travel Teams - Girls, Director of Referees, Director of Procurement and Sponsorship Coordinator.
  • The following Executive Committee Members shall also be elected together: Executive Vice-President, Vice-President of Travel Soccer Affairs, Treasurer, Director of In-Town Affiairs, In-Town Coordinator (2nd), Director of Travel Teams - Boys, Director of Field Operations, Assistant Director of Procurement and the Director of Concessions.
  • The President must be a board member that has served at least (1) year on the executive committee.

 

ARTICLE VI – AMENDING THE CONSTITUTION

Amendments to this Constitution must be made in writing and submitted to the Executive Committee at least fourteen (14) days prior to the meeting at which such amendments are to be considered. Any amendments shall be approved by a two-thirds vote of the Agawam Soccer Associatin Board of Directors.

  

ARTICLE VII – TAX STATUS AND DISSOLUTION

  1.  The Agawam Soccer Association, Inc. is organized and operated exclusively for charitable and educational purposes within meaning of Section 501(c)(3) of the Internal Revenue Code.
  2.  No part of the net earnings of the corporation shall accrue to the benefit of or be distributed to its members or any private individuals. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene on (including the publishing or distribution of statements (any political campaign on behalf of any candidates for public office. Notwithstanding any other provision of this article, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 501(c)(3) of the Internal Revenue Code of 1954
  3.  Upon dissolution of the corporation the board of trustees shall, after paying or making provisions for the payment of all liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purpose of the corporation in such a manner, or to such organizations organized and operated exclusively for charitable, educational, religious or scientific purposes as shall at the time qualify as an exempt organization of organizations under Section 501(c)(3) of the Internal Revenue Code, or to the federal government or to a state or local government for a public purpose
