ARTICLE I – NAME
The name of the organization shall be the Agawam Soccer Association, Inc. The Agawam Soccer Association shall also be referred to as the A.S.A. Members of the A.S.A. shall include registered players and their parents, coaches of Agawam teams, and the Executive Comimttee Members of the Association.
ARTICLE II – MISSION STATEMENT
The Agawam Soccer Association is committed to promoting and providing the opportunity for competitive and instructional play in the sport of soccer throughout the city of Agawam, while fostering good sportsmanship among our player, coaches and families.
ARTICLE III – EXECUTIVE COMMITTEE MEMBERS
1. The Executive Committee members shall be: President, Executive Vice-President, Vice-President of In-Town Affairs, Vice-President of Pioneer Valley Affairs, Secretary, Treasurer, Registrar, Director of In-Town Girls, Director of In-Town Boys, Director of Introductory, Director of Pioneer Valley Girls, Director of Pioneer Valley Boys, Director of Referees, Director of Tournaments, Assistant Director of Tournaments, Director of Field Operations, Director of Concessions, Coordinator of In-Town Boys (non-voting) and Coordinator of In-Town Girls(non-voting). All Executive Committee members of the association shall be at least 18 years of age.
2. Any Executive Committee Member may be removed from office for cause by a two-thirds vote of the Executive Committee.
3. Any vacancy may be filled by a majority vote at any regular or special meeting of the Executive Committee.
4. The Executive Committee will operate under Roberts Rule as appropriate
PRESIDENT
The President shall call meetings of the Executive Committee and preside over all association business. The President will also act as overall chairperson for all committees.
EXECUTIVE VICE-PRESIDENT
The Executive Vice-President will assist the President in conducting association business and administer to the needs of the association in the President’s absence. The Executive Vice-President will succeed the President in the event of his resignation. He/she will educate and promote development (coaches education, clinics, etc.) and also serve as Chairperson of the Scholarship Committee (Article IV, section 2). The Executive Vice President is overall coaching director for league and will oversee all: coaching appointees, disciplinary hearings, licensing and all other issues pertaining to coaches.
VICE-PRESIDENT OF IN-TOWN AFFAIRS
The Vice-President of In-Town Affairs shall be responsible for the administration of in-town soccer activities. The Vice-President shall oversee and serve as the adviser to the Director of Boys and Girls In-Town soccer. The Vice-President shall be responsible for the establishment of In-Town playing schedule and the modification of same, with the exception of the Introductory League schedule. The Vice-President will serve as Chairperson of the Awards Committee (Article IV, section 3) and Chairperson of the Ways and Means Committee (Article IV, section 1).
VICE-PRESIDENT OF PIONEER VALLEY AFFAIRS
The Vice-President of Pioneer Valley Affairs shall be responsible for the administration of Pioneer Valley Affairs. The Vice-President shall serve as advisor to the Director of Pioneer Valley Boys and Girls. The Vice-President will serve as a member of the Awards Committee (Article IV, section 3) and will also serve as Chairperson of the Pioneer Valley Committee (Article IV, section 4).
SECRETARY
The Secretary shall maintain the Association records, give adequate notification of all meetings, record the minutes of these meetings and handle all Association correspondence, including all public relations and communications
TREASURER
The Treasurer shall prepare invoices, deposit all funds, pay bills and maintain adequate records of all Association financial transactions. The Treasurer should present a written report to the Executive Committee at least once each quarter. The Treasurer shall also present the bank statement al least once a quarter so that the bank statement can be compared to the Treasurer’s Report. The Treasurer will also serve as a member of the Scholarship Committee (Article IV, section 2) and also serve as a member of the Tournament Committee (Article IV, section 5).
REGISTRAR
The Registrar will coordinate Fall and Spring sign-ups, handle registration forms and manage a database of all soccer players and coaches in Agawam. The Registrar will serve as a member of the Tournament Committee (Article IV, section 5)
DIRECTOR OF IN-TOWN GIRLS
The Director of In-Town Girls shall be responsible for the coordination and operation of the League. The Director shall assist the Vice-President of In-Town Affairs in the selection process for team rosters. The Director shall coordinate the publication of all team standings for the League. The Director shall also serve as a member of the Awards Committee (Article IV, section 3) and also the Ways and Means Committee (Article IV, section 1).

DIRECTOR OF INTRODUCTORY
The Director of Introductory shall be responsible for the operation of the Introductory League, i.e. scheduling, selection of coaches. The Director will also serve as a member of the Ways and Means Committee (Article IV, section 1).
DIRECTOR OF PIONEER VALLEY GIRLS
The Director of Pioneer Valley Girls shall be responsible for the coordination and operation of the League. The Director shall assist the Vice-President of Pioneer Valley Affairs. The Director shall also serve as a member of the Pioneer Valley Committee (Article IV, section 4).
DIRECTOR OF PIONEER VALLEY BOYS
The Director of Pioneer Valley Boys shall be responsible for the coordination and operation of the League. The Director shall assist the Vice-President of Pioneer Valley Affairs. The Director shall also serve as a member of the Pioneer Valley Committee (Article IV, section 4).
DIRECTOR OF REFEREES
The Director of Referees will be responsible for the scheduling and payment of In-Town referees. The Director shall also be responsible for the education and training of all referees. The Director shall also serve as a member of the Tournament Committee (Article IV, section 5).
DIRECTOR OF TOURNAMENTS
The Director of Tournaments shall be responsible for all tournament affairs held in the Town Of Agawam. The Director shall assist the Treasurer in the maintenance of all income and expenditures for each tournament. The Director shall also be responsible for obtaining all permits needed. The Director shall serve as the Chairperson of the Tournament Committee (Article IV, section 5).
ASSISTANT DIRECTOR OF TOURNAMENTS
The Assistant Director of Tournaments will assist the Director of Tournaments with all tournament affairs. The Assistant Director shall also serve as a member of the Tournament Committee (Article IV, section 5).
DIRECTOR OF FIELD OPERATIONS
The Director of Field Operations shall be responsible for all issues relating to usage, maintenance and development of the fields. The Director shall also serve as a member of the Tournament Committee (Article IV, section 5).
DIRECTOR OF CONCESSIONS
The Director of Concessions shall be responsible for all of the operations relating to concessions during the regular season, the In-Town Jamboree and the Labor Day Riverside Classic Tournament. The Director shall also serve as a member of the Tournament Committee (Article IV, section 5).
COORDINATOR OF IN-TOWN BOYS
The Coordinator of In-Town Boys shall assist the Director of In-Town Boys with the coordination and operation of the League. The position of Coordinator shall be a non-voting position on the Executive Committee.
COORDINATOR OF IN-TOWN GIRLS
The Coordinator of In-Town Girls shall assist the Director of In-Town Boys with the coordination and operation of the League. The position of Coordinator shall be a non-voting position on the Executive Committee.
ARTICLE IV – STANDING COMMITTEES
1. Ways and Means Committee – Chairperson, Vice-President of In-Town Affairs, Permanent Members: Director of In-Town Boys, Director of In-Town Girls and Director of Introductory
2. Scholarship Committee – Chairperson, Executive Vice-President, Permanent Member: Treasurer
3. Awards Committee – Chairperson, Vice-President of In-Town Affairs, Permanent Members: Vice-President of Pioneer Valley Affairs, Director of In-Town Boys and Director of In-Town Girls
4. PioneerValley Committee – Chairperson, Vice-President of Pioneer Valley Affairs, Permanent Members: Director of Pioneer Valley Boys and Director of Pioneer Valley Girls
5. Tournament Committee – Chairperson, Director of Tournaments, Permanent Members: Assistant Tournament Director, Registrar, Director of Pioneer Valley Boys, Director of Pioneer Valley Girls, Treasurer, Director of Referees, Director of Concessions and Director of Field Operations.
NOTE – Each chairperson will be expected to appoint responsible members to serve on his or her committee if additional help is needed
ARTICLE V – EXECUTIVE COMMITTEE
1. The management of the affairs and property of the Association shall be vested in the Executive Committee.
2. The Executive Committee shall hold a minimum of two regular meetings per year at times and places determined by the President of the Association.
3. Election of Executive Committee Members
· The Annual meeting, which shall be one of the regular meetings, shall be held during the month of October at which time election of Executive Committee Members will be held
· Any coach or assistant coach over 18 years of age duly registered with the Association or parent of any registered child may run for office
· Each fall team may cast one vote per team. These votes must be cast by the team’s coach or adult representative for that team. One person may only vote one time. Each Executive Committee Member will be allowed one vote and cannot vote as both a committee member and again as a coach. Anyone voting must be in attendance at the meeting to cast his or her ballot.
· The ballot will be conducted in secret on paper. The Association President shall appoint four people to count the paper slips and then anyone else who may wish to verify the count may do so
· Election results shall take effect at a combined meeting of the current Executive Committee and newly elected members to be held by November 30th following elections or if no meeting, by default on December 1st.
4. The Executive Committee shall hear and resolve any protest that may arise. These protests must be addressed at the next scheduled Executive Committee meeting or special meeting, if called.
5. Two-thirds of the Executive Committee present at a meeting of the Executive Committee shall be considered a quorum
6. Each Executive Committee member may cast one (1) vote
7. The Executive Committee or the Association shall not be responsible or held liable for injuries or loss sustained by individuals participating in its program or by spectators
8. Term of the Executive Committee members shall be two (2) years. Half of the Executive Committee shall be elected on alternating years to ensure that there are always standing members on the newly elected Executive Committee.
· The following Executive Committee Members shall be elected together: President, Vice-President of In-Town Affairs, Secretary, Registrar, Director of In-Town Boys, Coordinator of In-Town Girls, Director Of Pioneer Valley Girls, Director of Referees and the Assistant Tournament Director.
· The following Executive Committee Members shall also be elected together: Executive Vice-President, Vice-President of Pioneer Valley Affairs, Treasurer, Director of In-Town Girls, Coordinator of In-Town Boys, Director of Introductory, Director of Pioneer Valley Boys, Director of Tournaments, Director of Field Operations and the Director of Concessions.
ARTICLE VI – AMENDING THE CONSTITUTION
Amendments to this Constitution must be made in writing and submitted to the Executive Committee at least fourteen (14) days prior to the meeting at which such amendments are to be considered. Any amendments shall be approved by a two-thirds vote of the Executive Committee
ARTICLE VII – TAX STATUS AND DISSOLUTION
1. The Agawam Soccer Association, Inc. is organized and operated exclusively for charitable and educational purposes within meaning of Section 501(©(3) of the Internal Revenue Code.
2. No part of the net earnings of the corporation shall accrue to the benefit of or be distributed to its members or any private individuals. No substantial part of thr activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene on (including the publishing or distribution of statements( any political campaign on behalf of any candidates for public office. Notwithstanding any other provision of this article, the corporation shall not carry on any other activities not permitted to be carried on (a) by a corporation exempt from federal income tax under Section 501 (c) (3) of the Internal Revenue Code of 1954
3. Upon dissolution of the corporation the board of trustees shall, after paying or making provisions for the payment of all liabilities of the corporation, dispose of all of the assets of the corporation exclusively for the purpose of the corporation in such a manner, or to such organizations organized and operated exclusively for charitable, educational, religious or scientific purposes as shall at the time qualify as an exempt organization of organizations under Section 501 © (3) of the Internal Revenue Code, or to the federal government or to a state or local government for a public purpose
